Step 1
Company New License Forms: To request a new company license the applicant company must do the following: • Complete the Company Form (MU1) Filing via NMLS, and Complete and mail an original Company New License Form with all required notarized signatures directly to the Missouri Division of Finance at the address on this Form. Surety Bond: The applicant company must obtain and provide to the Missouri Division of Finance a Missouri Residential Mortgage Loan Broker Bond for at least $50,000. This may be accomplished in one of the following ways: (1) Electronic Surety Bond (ESB) through NMLS (preferred method). Instructions for the ESB can be found on the NMLS, or (2) Original physical Bond signed by the principal mailed to us (not preferred method). Missouri Location: All licensed mortgage companies must maintain at least one office located within Missouri, unless your company qualifies for a Missouri in-state office exception*. See page 5 for in-state office exemption eligibility. Applicant company headquartered outside Missouri: Submit a Missouri In-State Branch License Form (MU3) request via NMLS. Each Missouri office must meet the following requirements: • Nonresidential, commercial-type office. An executive-type suite with a specifically-assigned fixed space is acceptable. • Local or toll-free area code telephone number. A mobile telephone number is acceptable. • Staffed by at least one Missouri-licensed MLO. The MLO must live within a one-hour, one-way commute of the office and be associated with the branch through a Registered Location Link within NMLS. Applicant company headquartered within Missouri: The Missouri office requirement will be met by your Company Form (MU1) request above. Generally, the Missouri office must meet the requirements above; however, the office may be a residential, noncommercial-type office provided the applicant company: Exclusively engages in the business of residential mortgage loan processing or underwriting per Sections 443.703.1(19) and 443.857 RSMo.Submitted via: NMLS

Additional Locations: For each additional branch located within Missouri: The applicant company must submit a Missouri In-State Branch License Form (MU3) request via NMLS. Each Missouri branch must meet the Missouri Location requirements above. For each additional branch located within the U.S., but outside Missouri: If the applicant company wants such a branch, they may submit an Out-of-State Branch Registration Form (MU3) request via NMLS.Submitted via: NMLS

Formation Documents: The applicant company must upload into NMLS a certified copy of the following documents depending on its business structure: 1. Corporation - Articles of Incorporation and Bylaws, and any amendments thereto, or 2. Limited Liability Company (LLC) - Articles of Organization and Operating Agreement, and any amendments thereto, or Partnership - Partnership Agreement, and any amendments thereto.Submitted via: NMLS

Resident/Registered Agent: The applicant company must complete the Resident/Registered Agent section of the Company Form (MU1) on NMLS with the information currently on record with the Missouri Secretary of State.Submitted via: NMLS

Ownership Chart/Description: If the applicant company is owned by another entity or person, or has subsidiaries or affiliated entities, upload into NMLS a fresh Ownership Chart showing all direct and indirect equity owners and control persons of at least 10% of the applicant company on a diluted basis.Submitted via: NMLS

Management Chart: Upload into NMLS a fresh Management Chart showing members of the Board of Directors or Board of Managers, if applicable, and reporting lines of authority for all senior officers and above. If critical area`s (management control, financial accounting, information technology, legal, etc.) are performed by affiliate or third party entities, indicate the areas and who performs.Submitted via: NMLS

Other Trade Name: List any doing business as names (DBAs) the applicant company is using in Missouri in the Other Trade Names section of the NMLS Company (MU1) Form. Ensure such names are properly registered with the Missouri Secretary of State Office as being 100% owned by the applicant company’s legal name.Submitted via: NMLS

Bank Account: List the applicant company’s Letter/Line of Credit, Operating, and/or Trust Primary accounts in the Bank Account section of the NMLS Company (MU1) Form.Submitted via: NMLS

*Missouri In-State, Full Service Office Exemption: Servicer Designation: Applicant/Licensee company must be primarily engaged in residential mortgage loan servicing within Missouri. “Servicing” is defined in Section 443.703.1(36) RSMo. To be considered “primarily engaged” in servicing, the applicant/licensee shall derive 75% or more of their gross income from all Missouri residential mortgage loan business activities from residential mortgage loan servicing per 20 CSR 1140-30.290. Manufactured Housing Designation: Applicant/Licensee company must be exclusively making residential mortgage loans secured by manufactured or modular homes per Section 443.812.6 RSMo. An additional Consent to Venue form must be submitted with your Company New License Form. *Company must obtain and maintain an active Missouri MLO for licensing. Loan Processing or Underwriting Designation: Applicant/Licensee company must be exclusively engaged in the business of residential mortgage loan processing or underwriting per Sections 443.703.1(19) and 443.857 RSMo.
General information
Who is
required to have this license?
Any
person, corporation, company, limited liability company, partnership or
association (unless exempt) intending to operate as a Residential Mortgage Loan
Broker shall complete this application. Under Missouri law, a “Residential
Mortgage Loan Broker” is defined as: any person, other than an exempt person,
engaged in the business of brokering, funding, servicing, or purchasing
residential mortgage loans. If you are an independent processor or underwriter
please contact the Division to determine if you have a licensing requirement.
Who does
not need this license?
• Any
person that is a depository institution or first-tier subsidiary or
service corporation thereof.
• Any
person engaged solely in commercial mortgage lending or any person making
or acquiring
commercial construction loans with the person's own funds for the person's
own investment.
• Any
person engaged solely in the business of securing existing loans on the
secondary market provided such person does not make decisions about the
extension of credit to the borrower.
• Any
wholesale mortgage lender who purchases existing mortgage loans provided
such wholesale lender does not make decisions about the extension of
credit to the borrower.
