Step 1
Financial Statements: See the License Requirements and Fees Chart on the NMLS Resource Center for details related to this Requirement.Submitted via: NMLS
Step 2
Financial Statements: Upload financial statements for the applicant dated within 90 days of the date of application and financial statements for the preceding 2 year period, prepared in accordance with Generally Accepted Accounting Principles. Financial statements should include a Balance Sheet, Income Statement and Statement of Cash Flows and all relevant notes thereto. If applicant is a start-up company, only an initial statement of condition is required. Applicant MUST demonstrate and continuously maintain a minimum positive net worth of $225,000. NOTE: Financial statements are uploaded separately under Financial Statement section of the Filing tab. See the Financial Statement Quick Guide for instructions.Submitted via: NMLS
Step 3
Formation Documents: Determine classification of applicant’s legal status and submit a State certified copy of the requested applicable documentation detailed below. Original formation documents and all subsequent amendments, thereto including a list of any name changes. Sole Proprietor Unincorporated Association: • By-Laws or constitution (including all amendments). General Partnership: • Partnership Agreement (including all amendments). Limited Liability Partnership: • Certificate of Limited Liability Partnership; and • Partnership Agreement (including all amendments). Limited Partnership: • Certificate of Limited Partnership; and • Partnership Agreement (including all amendments). Limited Liability Limited Partnership: • Certificate of Limited Liability Limited Partnership; and • Partnership Agreement (including all amendments). Limited Liability Company (“LLC”): • Articles of Organization (including all amendments); • Operating Agreement (including all amendments); • IRS Form 2553 or IRS Form 8832 if S-Corp treatment elected; and • LLC resolution if authority not in operating agreement. Corporation: • Articles of Incorporation (including all amendments); • By-laws (including all amendments), if applicable; • Shareholder Agreement (including all amendments), if applicable; • IRS Form 2553 if S-Corp treatment elected; and • Corporate resolution if authority to complete application not in By-Laws or Shareholder Agreement, as amended, as applicable. Not for Profit Corporation • Documents requested of a Corporation; and • Proof of nonprofit status • Internal Revenue Service (“IRS”) 501(c)(3) designation letter; or • statement from a State taxing body or the State attorney general certifying that: (i) the entity is a nonprofit organization operating within the State; and (ii) no part of the entity’s net earnings may lawfully benefit any private shareholder or individual; or • entity's certificate of incorporation or similar document if it clearly establishes the nonprofit status of the applicant; or • Any of the three preceding items described, if that item applies to a State or national parent organization, together with a statement by the State or parent organization that the applicant is a local nonprofit affiliate. Step 4
Certificate of Registration/Good Standing Certificate: Upload a Certificate of Registration or Certificate of Good Standing issued by the District of Columbia Department of Licensing and Consumer Protection (DLCP) demonstrating that the applicant is authorized to do business in the District of Columbia. The DLCP’s Corporations Division registers all entities that conduct business in the District of Columbia. Certificates should be dated no more than 60 days prior to the filing of the application through NMLS. Contact DLCP staff by telephone at: 202-671-4500. Registration Renewal is required after initial registration. A true sole proprietorship is not required to obtain a Certificate of Registration from the D.C. DLCP. NOTE: This is a state-specific document. Select District of Columbia from the state drop-down menu when uploading in NMLS. Electronic Surety Bond: Electronic Surety Bond via NMLS in the minimum amount of $12,500 furnished and submitted by a surety company authorized to conduct business in DC. See the ESB Adoption Table and the ESB for NMLS Licensees page of the NMLS Recourse Center for more information. Note: Surety bonds submitted via the Document Uploads section will not satisfy this requirement. Step 7
Management Chart: Submit a Management chart displaying the applicant’s directors, officers, and managers (individual name and title). Must also identify compliance reporting and internal audit structure. This document should be named [Company Legal Name] Management Chart. Note: If the existing uploaded management chart already includes the above information, an additional document does not need to be uploaded. A company should only upload a single management chart.Submitted via: Upload in NMLS: under the Document Type Management Chart in the Document Uploads section of the Company Form (MU1).
Step 8
Organizational Chart/Description: Submit a chart showing (or a description which includes) the percentage of ownership of: • Direct Owners (total direct ownership percentage must equate to 100%) • Indirect Owners • Subsidiaries and Affiliates of the applicant/licensee This document should be named [Company Legal Name] Organizational Chart – Description. Note: If the existing uploaded Organizational Chart/Description already includes the above information, an additional document does not need to be uploaded. A company should only upload a single management chart.Submitted via: Upload in NMLS: under the Document Type Organizational Chart/Description in the Document Uploads section of the Company Form (MU1).

Other Trade Name: If operating under a name that is different from the applicant’s legal name, that name (“Trade Name”, “Assumed Name” or “DBA”) must be listed under the Other Trade Names section of the Company Form (MU1). DISB does not limit the number of other trade names. Note: Applicants should not include “dba” in front of their Other Trade Name, and Other Trade Names should not be included in the Legal Name field in the Company Form (MU1). If operating under an “Other Trade Name”, upload a Trade Name Registration Certificate issued by the District of Columbia Department of Licensing and Consumer Protection (DLCP) for each registered trade name used by the applicant regarding ability to do business under that trade name. Resident/Registered Agent: The Resident/Registered Agent information must be listed under the Resident/Registered Agent section of the Company Form (MU1) and MUST match exactly the information currently on record with the District of Columbia Department of Licensing and Consumer Protection (DLCP). Business Plan: Upload a business plan outlining the following information: • A brief history of the applicant’s operations, and a detailed description of products and services to be offered in D.C. (i.e. First or second mortgage servicing, first or subordinate mortgage lending, third party mortgage servicing, brokerage activity, etc.); • Operating structure the applicant intends to employ (i.e. wholesale or retail, locations, call center, etc.); • Target markets; and • Marketing strategies IMPORTANT: Select the corresponding box for each activity in the “Business Activities” section of the MU1 Form that aligns with a proposed activity described in the business plan. See Business Activity Definitions for a description of each activity available. This document should be named [Company Legal Name] Business Plan. Note: If the existing uploaded business plan already includes the above information, an additional document does not need to be uploaded. A company should only upload a single business plan. Sponsorship of Individual D.C. Licensed Mortgage Loan Originator(s): Each individual acting as a mortgage loan originator on behalf of the applicant must be separately licensed as a mortgage loan originator and a sponsorship must be established by the applicant.Submitted via: NMLS

Affidavit of Prior Mortgage Broker or Mortgage Lender Activity: Applicant must complete the Affidavit of Prior Mortgage Broker or Mortgage Lender Activity. The Affidavit must be executed by an authorized signer and submitted with any attachments (if applicable) via EMAIL directly to DISB. Click HERE to access the Affidavit. Note: The Affidavit must be completed even if the Applicant has no prior District of Columbia Mortgage Broker or Mortgage Lender activity to report. Carefully review and follow the delivery instructions provided in the Affidavit.
