This license is required of any lender that is regularly engaged in originating consumer purpose mortgage loans subject to Ind. Code § 24-4.4 et seq. or Ind. Code § 24-4.5 et seq. Also, any company that employs individuals engaged in mortgage loan origination activity is required to be licensed as a pre-requisite to sponsor individually licensed mortgage loan originators. Note that Indiana law requires that MLOs be compensated as W-2 employees.

  1. Step 1

  2. Step 2

    Other Trade Name: If operating under a name that is different from the applicant’s legal name, that name (“Trade Name”, “Assumed Name” or “DBA”) must be listed under the Other Trade Names section of the Company Form (MU1). IN-DFI does not limit the number of other trade names. If operating under an “Other Trade Name”, ensure that the trade name is registered with the Indiana Secretary of State.

  3. Step 3

    Resident/Registered Agent: The Registered Agent must be listed under the Resident/Registered Agent section of the Company Form (MU1) and must match the information currently on record with the Indiana Secretary of State.

    Primary Contact Employees: The following individuals must be entered into the Contact Employees section of the Company Form (MU1). • Primary Company Contact. The individual named as the Primary Company Contact must be an individual who can respond to all licensing and examination requests. • Primary Consumer Complaint Contact. The individual named as the Primary Consumer Complaint Contact must be an individual who reviews and responds to any complaints against the applicant received by the IN-DFI.

    Non-Primary Contact Employees: • Attestation Contact. The individual attesting to the Company Form (MU1) must be listed as a contact employee or be an MU2 person.     Approvals and Designations: Enter the company’s CDFI Certification Information in the Other Approval/Designation field in the Approvals and Designation section of the Company Form (MU1).

    Bank Account: Bank account information is not required. The Bank Account section of the Company Form (MU1) can be left blank.

    Disclosure Questions: Provide a complete and detailed explanation and document upload for each “Yes” response to Disclosure Questions made by the company or related control persons (MU2). See the Company Disclosure Explanations section of the NMLS Resource Center for instructions.

  9. Step 9

    Qualifying Individual: Each applicant must designate, in the Qualifying Individual field, a person or persons to serve as the Qualified Person in charge of mortgage lending for Indiana. Such person must have two years of verifiable experience in the business of making or underwriting residential mortgage loans or similar lending, and credit evaluation experience, and be actively engaged in the operations of the lender. This individual must be listed in the Qualifying Individual section of the Company Form (MU1).

  10. Step 10

    Credit Report: Individuals in a position of control are NOT required to authorize a credit report through NMLS.
  11. Step 11

    MU2 Individual FBI Criminal Background Check Requirements: The followingIndividuals on the Company Form (MU1) are required to authorize an FBI criminal background check (CBC) through NMLS. • All direct owners who own at least 10% or more of the entity; • All executive officers who complete an MU2 or are instructed to complete an MU2; • All indirect owners who own at least 10% or more of the entity; and • All individuals who are designated as an Indiana qualifying individual. After authorizing an FBI criminal background check through the submission of the Company Form (MU1) and Individual Form (MU2), you must schedule an appointment to be fingerprinted if new prints are required. See the Criminal Background Check section of the NMLS Resource Center for more information. Note: If you are able to ‘Use Existing Prints’ to process the FBI criminal background check, you DO NOT have to schedule an appointment. NMLS will automatically submit the fingerprints on file.

  12. Step 12

    MU2 Individual Out-of-Country Criminal Background Check Required Outside NMLS: If the person is domiciled outside of the United States, or was domiciled outside of the United States for more than 12 consecutive months during the last 10 years, provide a background check for that country which is equivalent to the United States FBI background check, and includes at least the last ten years. Ensure that the background check report identifies the years searched and the sources that were canvassed to arrive at the results.

  13. Step 13

    Electronic Surety Bond: Provide anElectronic Surety Bond via NMLS in the amount of $100,000 furnished and submitted by a surety company authorized to conduct business in Indiana. See the ESB for NMLS Licensees page of the NMLS Resource Center for more information. Note: Surety bonds submitted via the Document Uploads section will not satisfy this requirement.

  14. Step 14

    AML/BSA Policy: Upload an Anti-Money Laundering (AML) / Bank Secrecy Act (BSA) Policy, which must include independent review. The document should indicate the date it was approved and/or last updated. AML/BSA Policy: Upload the most recent AML/BSA Risk Assessment.

  15. Step 15

    Business Plan: Upload a business plan outlining the following information: • Marketing strategies • Products* • Target markets • Operating structure the applicant intends to employ. *The products section of the business plan should specifically indicate whether the applicant will be engaging in Indiana in each of the business activities listed on the Indiana mortgage product questionnaire. Ensure that the Business Plan, the MU1 Business Activities for Indiana, and the Indiana mortgage product questionnaire are consistent as to the products to be offered to Indiana consumers. Note: If the existing uploaded business plan already includes the above information, do not upload an additional document. A company should only upload a single business plan. If state-specific material is required, replace the existing uploaded business plan with a new version.

  16. Step 16

    Certificates of Authority/Good Standing Certificates: Upload State-issued and approved documents (typically by the Secretary of State’s office), that demonstrates authorization to do business in the applicant’s state of formation, and in Indiana.

  17. Step 17

    Company Staffing and Internal Policies: Upload document(s) including: • information on staffing and internal organizational policies and procedures, and • a policy for handling complaints. If submitting multiple policies, upload and name each policy separately.

  19. Step 19

    Document Samples: Complete the Indiana mortgage product questionnaire, and upload it under the Document Type Additional Requirements in the Document Uploads section of the Company Form (MU1). Provide document samples for each mortgage product type offered to Indiana consumers, as indicated on the questionnaire. The documents must be completed (not blank) for a sample Indiana mortgage transaction. Do not provide document samples for products that will not be offered to Indiana consumers. Note that in addition to those documents identified on the mortgage product questionnaire, the following documents are required for all applicants: • Indiana Notice to Borrower (HPU-01), to be provided to the borrower at the time of application. • A list of all fees that can be paid by the consumer – include the amount, lien type on which the fee is applicable, and indicate whether the fee is a finance charge.

    Errors and Omissions: An Errors and Omissions insurance policy is not required.
  21. Step 21

    Financial Statements: Upload an unaudited (reviewed) or audited financial statement prepared by a third-party United States Certified Public Accountant in accordance with Generally Accepted Accounting Principles dated within the last 12 months. Financial statements should include a balance sheet, income statement, and statement of cash flows, and all relevant notes thereto. The financial statement must illustrate a minimum company net worth of $100,000 and liquid assets of at least $50,000.

  22. Step 22

    Formation Documents: Determine the classification of the applicant’s legal status and submit a state-certified copy of the requested applicable documentation detailed below. Include original formation documents and all subsequent amendments, including a list of any name changes. Unincorporated Association: • By-Laws or constitution (including all amendments). General Partnership: • Partnership Agreement (including all amendments). Limited Liability Partnership: • Certificate of Limited Liability Partnership; and • Partnership Agreement (including all amendments). Limited Partnership: • Certificate of Limited Partnership; and • Partnership Agreement (including all amendments). Limited Liability Limited Partnership: • Certificate of Limited Liability Limited Partnership; and • Partnership Agreement (including all amendments). Limited Liability Company (“LLC”): • Articles of Organization (including all amendments); • Operating Agreement (including all amendments); • IRS Form 2553 or IRS Form 8832 if S-corp treatment elected; and • LLC resolution if authority not in operating agreement. Corporation: • Articles of Incorporation (including all amendments); • By-laws (including all amendments), if applicable; • Shareholder Agreement (including all amendments), if applicable; • IRS Form 2553 if S-corp treatment elected; and • Corporate resolution if authority to complete application not in By-Laws or Shareholder Agreement, as amended, as applicable. Not for Profit Corporation • Documents requested of a Corporation; and • Proof of nonprofit status • Internal Revenue Service (“IRS”) 501(c)(3) designation letter; or • statement from a State taxing body or the State attorney general certifying that: (i) the entity is a nonprofit organization operating within the State; and (ii) no part of the entity’s net earnings may lawfully benefit any private shareholder or individual; or • entity's certificate of incorporation or similar document if it clearly establishes the nonprofit status of the applicant; or • Any of the three preceding items described, if that item applies to a State or national parent organization, together with a statement by the State or parent organization that the applicant is a local nonprofit affiliate. Trust (Statutory) • Certificate of Trust; and • Governing instrument (all amendments).

  23. Step 23

    Management Chart: Submit a management chart displaying the applicant’s directors, officers, and managers (with individual names and titles), identifying the compliance reporting and internal audit structure. The chart should include managers over compliance and loan origination. Note: If an existing uploaded management chart already includes the above information, do not upload an additional document. A company should only upload a single management chart. If state-specific information is required, replace the existing management chart with a new version.

  24. Step 24

    Mortgage Servicing Agreement: Submit a copy of any and all written agreements or contracts related to mortgage servicing rights. This includes (1) any agreement between the applicant and another entity that services or subservices loans originated by the applicant, as well as (2) any agreement in which the applicant agrees to service or subservice loans originated by others.

  25. Step 25

    Organizational Chart/Description: Submit a chart showing (or a description which includes): • Direct Owners, with the percentage of ownership of each (the total direct ownership must equal 100%); • Indirect Owners, with the percentage of ownership of each; and • Subsidiaries and Affiliates of the applicant. The chart or description must identify ALL direct and indirect owners of ≥10%, including owners of publicly-traded companies. Note: If the existing uploaded Organizational Chart/Description already includes the above information, do not upload an additional document. A company should only upload a single management chart. If state-specific information is required, replace the existing uploaded organizational chart with a new version.

  26. Step 26

    Warehouse Line of Credit Documentation: Submit each current Warehouse Line of Credit Agreement. Ensure each document is current and shows the amount of the line of credit and the maturity date. Remove any Line of Credit Agreements which have expired.

  27. Step 27

    Non-Financial External Audits: Upload all independent audits that include the areas of Information Technology Systems and BSA conducted in the previous eighteen months. If no such audits have been conducted, please upload a statement affirming this.

  28. Step 28

    Internal Control External Audits: Upload all independent audits that include the area of Internal Controls which are not a part of the audited financial statements. This would include any CPA letters provided to management. If no such audits have been conducted, please upload a statement affirming this.

  29. Step 29

    Third-Party Authorization. If the applicant has engaged a third party to assist with the application, upload a document that states the name of the third-party company and the employees of the company with whom the Indiana DFI has permission to discuss the application.

  30. Step 30

    Legal Name/Status Documentation: Upload documentation of legal name or legal status for each MU2 person. Acceptable documents include driver’s license, passport, marriage certificate, divorce decree, or other legal documentation.

General information

Who Is Required to Have This License? This license is for any lender that is regularly engaged in originating consumer purpose mortgage loans subject to Ind. Code § 24-4.4 et seq. or Ind. Code § 24-4.5 et seq. Also, any company that employs individuals engaged in mortgage loan origination activity is required to be licensed as a pre-requisite to sponsor individually licensed mortgage loan originators. Activities Authorized Under This License This license authorizes the following activities. • First lien mortgage lending under Ind. Code §24-4.4 et seq., which may include, but is not limited to, the following: • Reverse mortgage lending • First mortgage brokering* • High-cost home loans • Manufactured housing financing • Subordinate lien mortgage lending under Ind. Code §24.4.5 et seq., which may include, but is not limited to: • Home equity lending/lines of credit • Second mortgage brokering* • Subordinate lien mortgage servicing *An individual or organization that originates mortgage loans and maintains a mortgage lending license with the Indiana DFI is not required to obtain a loan broker’s license with the Indiana Secretary of State in order to engage in loan brokerage activity. If the individual or organization plans to engage in mortgage loan brokering only, please review the Indiana Secretary of State Loan Broker License New Application Checklist and contact the Indiana Secretary of State with any questions regarding those license application requirements. Pre-Requisites for License Applications • Applicants must first register to do business in Indiana with the Indiana Secretary of State. • Ensure that MLOs who will be Sponsored under the company license will be W-2 employees. Indiana law requires that MLOs be compensated as W-2 employees. Sponsorship of an independent contractor or other 1099 employee cannot be accepted. Indiana DFI does not issue paper licenses for this license type. Indiana DFI does not issue Branch licenses. Foreign Formed Entities A company organized under the laws of a foreign country is required to establish a U.S. branch location to be eligible for an Indiana DFI license. Officers and owners do not have to be U.S. citizens or reside in the U.S. or a U.S. Territory. There may be additional application requirements for individuals who reside or have resided outside of the U.S. or a U.S. Territory and for entities that are organized under the laws of a foreign country. License Application Abandonment Review the Checklist carefully to ensure you are submitting a complete application. When the Licensing team completes the initial review of an application, License Items (deficiencies) are entered in NMLS to alert the applicant of any missing information or documents needed to complete the application. Applicants are required to respond to deficiencies and/or upload requested documents within 120 days of the deficiency being placed. If the requested information or documents are not available for review within that time, IN-DFI reserves the right to administratively abandon the application. The applicant would need to re-apply for the license once they gather all the necessary information and documents to complete the application process. Document Uploads Guidance Documents that must be uploaded to the Document Uploads section of the Company Form (MU1) in NMLS are indicated in the checklist below. When uploading documents: • Follow the guidance in Document Upload Descriptions and Examples. • Only upload documents relevant to the company application. • Only upload documents where there is a selectable document category. If inappropriate documents are uploaded, you will be contacted by your regulator and asked to remove them from NMLS. • Do not upload the same company document multiple times. Generally, unless the document is state-specific, if the document has already been uploaded for another state, a new upload is not required unless changes have been made. • If a document previously uploaded has been revised, delete the old document and replace it with the new document (history of the old document will remain in NMLS). • For state-specific documents (e.g., Surety Bonds), be sure to indicate the applicable state.
