  1. Step 1

    Other Trade Name: DBAs should be listed under Other Trade Names on the NMLS Company Form. The Guam Department of Revenue and Taxation, Regulatory Division, Office of Banking and Insurance Commissioner/Insurance, Securities, Banking and Real Estate (ISBRE) Branch does not limit the number of DBAs.

  2. Step 2

    Resident/Registered Agent: The Resident/Registered Agent section of the NMLS Company Form should be completed with the information currently on record with the Guam Department of Revenue and Taxation, Regulatory Division, Office of the Banking and Insurance Commissioner/Insurance, Securities, Banking and Real Estate (ISBRE) Branch.

    Submitted via: Resident/Registered Agent appointment should be registered at the Guam Department of Revenue and Taxation, Regulatory Division. Once registered, submit Agent information via NMLS under "Resident/Registered Agents" section.

  3. Step 3

    Financial Statements: Upload an Audited Financial Statement prepared by a Certified Public Accountant in accordance with Generally Accepted Accounting Principles dated within 90 days of your fiscal year end. Financial statements should include a Balance Sheet, Income Statement, Statement of Cash Flows, and all relevant notes thereto. If applicant is a start-up company, only an initial Statement of Condition is required. The Financial Statement must reflect the required minimum tangible net worth of $250,000. NOTE: Financial Statements are uploaded separately under the “Financial Statement” section of the filing tab. See the Financial Statement Quick Guide for instructions.

  4. Step 4

    Formation Documents: Upload a certified copy of: • The Corporate Charter or Articles of Incorporation (if a corporation), or • The Articles of Organization and Operating Agreement (if a limited liability company), or • The Partnership Agreement (if a partnership of any form).

  5. Step 5

    Certificate of Authority/Good Standing Certificate: Upload a state-issued document (typically by the state’s Secretary of State office) demonstrating that the corporation or limited liability company (LLC) exists or is authorized to do business in the state.

  6. Step 6

    Business Plan: Upload a business plan outlining marketing strategy, products, target markets and operating structure the applicant intends to employ.

  7. Step 7

    Organizational Chart/Description: Upload an organizational chart if applicant is owned by another entity/entities or person, or has subsidiaries, or affiliated entities.

  8. Step 8

    Management Chart: Upload an organizational chart showing the applicant’s divisions, officers, and managers.

  9. Step 9

    Surety Bond: Guam accepts single bond coverage. Submit an Electronic Surety Bond (ESB) via NMLS in the amount of $50,000.00 plus $50,000.00 for each licensed branch location and each MLO. Surety Bond must be furnished and submitted by a Surety Company authorized to conduct business in Guam. See the ESB Adoption Table and the ESB for NMLS Licensees page of the NMLS Recourse Center for more information. Note: Surety Bond submitted via "Document Upload" section will not satisfy this requirement.

  10. Step 10

    Fidelity Bond (Optional): Upload a fidelity bond in the amount of $50,000 and up to $100,000. The name of the principal insured on the bond must match exactly the Full Legal Name of applicant.

  11. Step 11

    Errors and Omissions: Upload proof of errors and omissions insurance protecting the applicant liability arising from a negligent act, error or omission in the performance of professional service.

  12. Step 12

    Document Samples: Upload copies of documents used in the regular course of business in connection with certain license types as required by Guam (e.g., consumer disclosure forms, origination and/or loan modification forms).

  13. Step 13

    Trust Account Authorization: Upload a letter of authorization allowing the Guam Office of Banking and Insurance Commissioner to examine the trust accounts used for the purpose of holding funds belonging to others.

  14. Step 14

    Memorandum of Tax Certification: Provide a completed certified stamped Tax Clearance Form I-9 showing all tax obligations to Guam have been paid. The Form I-9 Tax Clearance can be downloaded via the Government of Guam Forms website at www.govguamdocs.com (under the Department of Revenue and Taxation, under the Insurance, Securities, Banking and Real Estate (ISBRE) Branch. You will need to contact your Guam Registered Agent to Process to complete the Form I-9 in Guam at the Guam Department of Revenue and Taxation. A completed certified stamped Tax Clearance Form I-9 requires all four (4) stamped clearances on the bottom of the form, stamped cleared by the following branches located within the Guam Department of Revenue and Taxation: (1) Business Privilege Tax/Gross Revenue Tax (BPT/GRT) Branch (2) General Licensing/Business License Branch (3) Income Tax Assistance and Processing Branch (ITAPB) (4) Collection Branch Certified stamped Tax Clearance Form I-9 are required for new and renewal of license and are valid for 90 days. Incomplete Form I-9 Tax Clearance will delay the issuance of license.

  15. Step 15

    Qualifying Individual: An on-site manager is required to be appointed for all locations where the licensee conducts business with consumers. This individual may be referred to as the Branch Manager and must be listed as the "Qualifying Individual" on NMLS Company Form. His/her business address must match the address listed as the "Main Address" on the Company Form.

  16. Step 16

    Credit Report: Individuals in a position of control are required to authorize a credit report through NMLS. Individuals will be required to complete an Identity Verification (IDV) along with an individual attestation before a license request for your company can be filed through NMLS.   17. Step 17

    Disclosure Questions: Provide an explanation for any “Yes” response. Upload a copy of any applicable orders or supporting documents in NMLS.

General information

Who is required to have this license? Any company that for a fee or compensation provides services which include the receipt of periodic payments from a borrower and making payments of principal and interest, and other payments pursuant to the terms of the loan secured by residential mortgage. Who does not need this license? • Any person who meets the definition of a mortgage servicer and is an employee of a depository institution or a subsidiary thereof that is regulated by a federal banking agency. Pre-requisites for license applications? • Net worth must be not less than $250,000 tangible assets • Bond amount must be a minimum of $50,000 up to $100,000 for aggregate loans to be collected or serviced over $50,000,000 • Criminal background check – applicant is required to submit and pay all fees required for criminal history background check • Credit check – applicant shall authorize the NMLS to obtain applicant’s current credit report. • Experience – applicant shall provide personal history and experience and shall include officers, directors, managing members, partners, direct owners and executive officers of the company. • Testing – applicant shall pass a qualified written test developed by NMLS and administered by a test provider approved by NMLS within one year before the date of the filing of the application. • Education – applicant shall complete at least 20 hours of NMLS approved education including 3 hours of instruction on federal law and regulations, 3 hours of ethics, including instructions on fraud and consumer protection.
